National Conference on Mergers & Acquisitions - Tax Implications

While framing the Scheme of Merger, De-merger, Amalgamation, Acquisition or Restructuring, besides Company Law, Tax Implications, Tax Exemptions, Compliance of Direct and Indirect Tax Laws is pertinent. Amortization of Certain Preliminary Expenses like acquiring IPRs, Scientific Research, acquisition of certain assets, Capital Gains on transfer of assets, Carry forward and Set off of accumulated Losses and Unabsorbed Depreciation are some of the issues under Income Tax Laws which should be taken into consideration. Besides, various other provisions of Indirect Tax Laws eg; Sales Tax, VAT, Excise etc. also impact a Transaction.

Indian M & A tax situation has been abuzz with significant developments such as the Government's unveiling of the direct tax code (DTC), ever growing disputes on eligibility for India-Mauritius tax treaty and much talked controversy around the Vodafone issue of Indirect transfer of share in an Indian company. An overall assessment of the current tax environment in India shows the growing determination of the Indian revenue authorities to tighten the noose around transactions involving tax avoidance. The recent trend seems to be that the Indian tax authorities will pierce the corporate veil to look into the real nature of a transaction to determine the capital gains chargeable to tax in India.

Presently weak Indian Rupee and proposed FDI in retail with Tax/Finance director's globally are showing their interest in BRIC countries as preferred Investment. These are likely to push Inbound Transactions which calls for awareness of potential tax risks in emerging market.
