The parties disagree as to what law governs the contract and which of them should suffer the financial loss. While they were arguing about who was responsible, the bananas became rotten and had to be destroyed. They did agreed to arbitrate all disputes arising from their contract but may have failed to agree where they would arbitrate and under what Rules.
